The "HILTON GRAND VACATIONS SURF SAFARI" SWEEPSTAKES ("Sweepstakes") starts at 12:01 am Hawaiian Standard Time ("HST") on 6/1/09 and ends at 12:00 midnight (HST) on 5/31/10 for online entry (the "Online Entry Period") and on 5/31/10 for the postmarking of a mail-in entry or the submission of a location entry (as detailed below). The sponsor of this Sweepstakes is Hilton Resorts Corporation, 6355 MetroWest Blvd., Suite 180, Orlando, FL 32835 (the "Sponsor"). The Sweepstakes shall be subject to these Official Rules, and by entering, all participants agree to be bound by the terms and conditions herein.

ELIGIBILITY: THE SWEEPSTAKES IS OPEN ONLY TO LEGAL RESIDENTS OF THE FIFTY (50) UNITED STATES AND DISTRICT OF COLUMBIA, (EXCLUDING RESIDENTS OF NEW YORK, NEVADA AND RHODE ISLAND), AND OF JAPAN, WHO ARE OF MAJORITY AGE OR OLDER AS OF ENTRY DATE. Void outside the specific areas of eligibility as stated above and where prohibited or restricted by law. Employees and their immediate families (defined as parents, legal guardians, siblings and children) of Sponsor, Hilton Hotels Corporation, PacRim Marketing Group, Inc., West Coast Marketing, a division of The Susquehanna Hat Company ("West Coast Marketing"), their respective affiliates, subsidiaries, parent companies and participating agencies (collectively, the "Promotion Parties") and those living in the household of same (whether related or not) are not eligible to enter or win. Residents of Rhode Island, Nevada, and New York are not eligible to participate in this promotion. All U.S. federal, state and local rules and regulations apply. ONE (1) ENTRY PER HOUSEHOLD REGARDLESS OF METHODD OF ENTRY.

HOW TO ENTER VIA THE INTERNET: Beginning at 12:01 am (HST) on 6/1/09 enter via the Internet by logging onto http://www.HiltonSurfSafari.com (the "Entry Site") and following the Sweepstakes entry directions. You will be asked to provide your name, address, daytime telephone number, age, and e-mail address. Upon submitting the completed online form, you will receive one (1) Online entry in the Sweepstakes. ALL ONLINE ENTRIES MUST BE RECEIVED BY 12:00 MIDNIGHT (HST) ON 5/31/10.

HOW TO ENTER AT A PARTICIPATING HILTON GRAND VACATIONS LOCATION OR BY MAIL: Beginning on 6/1/09 obtain an Official Entry Form (available while supplies last) at the Hilton Hawaiian Village in Honolulu, Hawaii or the Hilton Waikoloa Village located in Waikoloa or at participating Hilton Grand Vacations marketing locations at the Waikele Premium Outlet mall located in Waipahu, the Ala Moana Mall in Oahu Hawaii, the Kings Shop Mall located in Waikoloa, Queens Marketplace located at Waikoloa, Hawaii and the Dole Plantation at Wahiawa, Hawaii ("Location Entry") and submit your completed entry form as directed. Or, submit your entry on a 3" x 5" piece of paper, by hand-printing (no mechanical reproductions accepted) your name, address, daytime telephone number, age, and e-mail address (if applicable) and mail your completed entry to "HILTON GRAND VACATIONS SURF SAFARI" SWEEPSTAKES", 1600 Kapiolani Blvd., Suite 1100, Honolulu, HI 96814 ("Mail-in Entry").

All Location Entries must be received by end of business (local time) on 5/31/10.

All Mail-in Entries must be postmarked by 5/31/10 and received by 6/30/10.

The Promotion Parties, prize suppliers, and any and all Internet server(s) and access provider(s), and each of their respective affiliates, subsidiaries, parent corporations, participating retailers and advertising and promotional agencies, and all of their officers, directors, shareholders, employees and agents (collectively, "Releasees") are not responsible for: any incorrect or inaccurate entry information; human errors; technical malfunctions; failures, omissions, interruptions, deletions or defects of any telephone network, computer online systems, computer equipment, servers, providers, or software, including without limitation any injury or damage to participant’s or any other person’s computer relating to or resulting from participation in the Sweepstakes; inability to access the Entry Site; theft, tampering, destruction, or unauthorized access to, or alteration of, entries; data that is processed late or incorrectly or is incomplete or lost due to mail, telephone, computer or electronic malfunction or traffic congestion on telephone lines or the Internet or any web site(s) (including the Entry Site) or for any other reason whatsoever; typographical, printing or other errors; any location submitted or mailed entries which are late, lost, incomplete, misdirected, stolen, mutilated, illegible, or postage due, or any combination thereof. Proof of mailing entry, submitting entry at a participating Hilton Grand Vacation location or entering information at the Entry Site is not considered proof of delivery or receipt. Illegible, incomplete, mechanically reproduced entries or duplicate entries of any one (1) entry method will be disqualified. All entries become the property of the Sponsor and will not be acknowledged or returned. False, fraudulent or deceptive entries or acts shall render entrants ineligible.

By entering the Sweepstakes, entrants agree to waive any rights to claim any ambiguity or error in the Official Rules or the Sweepstakes itself, and agree to be bound by these Official Rules. The Sweepstakes shall be governed by and construed in accordance with the laws of New York, USA. By entering the Sweepstakes, entrants hereby submit to the jurisdiction and venue of the federal courts of the United States and state courts of Virginia and waive the right to have disputes arising out of the subject matter hereof adjudicated in any other forum. The information obtained via the entry may be used by Sponsor for marketing purposes. Sponsor may use this information to contact you either by telephone, mail or email with updates about special promotions or offers. Any entry information collected from the Sweepstakes shall be used only in a manner consistent with these Official Rules and with the Sponsor’s Privacy Policy, which can be accessed at the Entry Site.

WINNER SELECTION: Winners will be selected in a random drawing from among all eligible entries from all entry methods combined, on or about 7/15/10 by West Coast Marketing, an independent judging organization, whose decisions are and shall be final and binding. Grand Prize, Second Prize and Third Prize winners will be notified by e-mail, mail and/or telephone by about 7/29/10. Grand Prize and Second Prize winners from the United States will be required to execute and return an Affidavit of Eligibility/Release of Liability, where legal, a Publicity Release form (winners from Japan may be required, at Sponsor’s sole discretion, to execute these and/or other documents) within fourteen (14) days of date of notification. Failure to return all required forms within this time period, or to comply with any other provision herein, may result in the applicable winner being disqualified and an alternate winner selected. If a prize notification or prize is returned as undeliverable for any reason, the prize will be awarded to an alternate winner in a subsequent random drawing. No transfer, assignment or substitution of a prize permitted except by Sponsor who reserves the right to substitute prize for an item of equal or greater value in the event an advertised prize is unavailable. All federal, state and local laws and regulations apply.

ALL TAXES ARE THE SOLE RESPONSIBILITY OF THE WINNERS. Acceptance of a prize constitutes permission (except where prohibited by law) for the Sponsor and its designee(s) to use the winner’s name, likeness, voice, biography, statements, and any other similar materials for marketing, promotional and publicity purposes without additional compensation or any limitation.

PRIZES: GRAND PRIZE (one [1] Grand Prize will be awarded): The Grand Prize shall consist of a 2010 hardtop MINI Cooper or equivalent model (as determined in sole discretion of Sponsor) ("Vehicle"), including destination and handling and dealer fees and sales tax, as applicable. Approximate retail value ("ARV") of the Grand Prize is USD $25,000.00 All other costs related to prize acceptance and use are the responsibility of the Grand Prize winner, including but not limited title, insurance, license, and registration fees. Exact model, color, options and specific Vehicle to be awarded as the Grand Prize are at the sole discretion of Sponsor and/or the Vehicle supplier. The Grand Prize winner may choose to receive a cash alternative prize of $25,000.00 USD instead of accepting the Vehicle. In the event the Grand Prize winner elects to take the cash equivalent in lieu of the Vehicle, the Grand Prize winner will be required to sign an agreement acknowledging and accepting the cash equivalent, if elected.

GRAND PRIZE VEHICLE DELIVERY: If the Grand Prize winner elects to accept the Vehicle as his or her total prize, the Grand Prize winner shall be required to pick up the Vehicle at a location designated by Sponsor.The Vehicle will only be delivered at the location designated by Sponsor. All travel and transportation costs associated with collecting the Vehicle will be the sole responsibility of the Grand Prize winner; provided, however, that Sponsor (and/or the Sweepstakes Entity supplying the Vehicle) shall pay any transportation costs associated with delivering said Vehicle to a designated location reasonably close to the Grand Prize winner’s city of residence. The Grand Prize winner shall be required to personally accept delivery of the Vehicle. Sponsor and/or its authorized designee shall use good faith efforts, subject to availability, to deliver the Vehicle within one hundred twenty (120) days after confirmation of the Grand Prize winner as provided herein, provided, however, that none of the Promotion Parties shall be held responsible for any delays in delivery of the Vehicle. The Grand Prize winner shall bear all risk of loss or damage to his or her Vehicle after it has been delivered to the specified delivery site, and if the Vehicle is not picked up thirty (30) days or less after the date the Grand Prize Winner is notified that the Vehicle has been delivered to the specified designated location, the Vehicle shall be automatically forfeited by the Grand Prize winner and shall not be awarded to an alternate winner. In the event the Grand Prize is forfeited, no cash alternative will be awarded to Grand Prize winner.

The Grand Prize winner will be required to provide proof of possessing a valid automobile driver’s license in good standing as well as appropriate automobile motor vehicle insurance prior to the Grand Prize Vehicle being awarded. If the Grand Prize winner fails to provide such proof of possessing a valid automobile driver’s license and appropriate automobile motor vehicle insurance within sixty (60) days of receipt of Grand Prize winner notification, the Grand Prize winner will be awarded the USD $25,000 cash alternative prize.

The MINI name, model names and logo are registered trademarks of MINI, a division of BMW of North America, LLC. MINI, a division of BMW North America, LLC, does not support or endorse this promotion.

SECOND PRIZE (two [2] Second Prizes will be awarded): Each Second Prize shall consist of a 6-foot Surf Safari Surfboard. The ARV of each Second Prize is $750.00 USD

THIRD PRIZE (fifty [50] Third Prizes will be awarded): Each Third Prize shall consist of a Surf Safari Beach Towel. The ARV of each Third Prize is $25.00
USD.

Sponsor reserves the right in its sole discretion to award a cash equivalent prize for any prize specified above. The total ARV of all prizes to be awarded in this Sweepstakes is $27,750.00 USD. Please allow 6-8 weeks for delivery of second and third prizes.

The odds of winning a prize are determined by the total number of eligible entries received and are equal regardless of method of entry.

Except as stated in the manufacturer’s limited warranty for each prize, the Releasees (as defined below) make no warranties, express or implied, in fact or in law, relative to the use or enjoyment of the awarded prize, including, without limitation, its quality, merchantability or fitness for a particular purpose.

LIMITATIONS ON LIABILITY: Releasees shall not be liable to winner or any other person for failure to supply the prize or any part thereof, by reason of any acts of God, any action(s), regulation(s), order(s) or request(s) by any governmental or quasi-governmental entity (whether or not the action(s), regulation(s), order(s) or request(s) prove(s) to be invalid), equipment failure, terrorist acts, earthquake, war, fire, flood, explosion, severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot, or any other cause beyond Sponsor’s sole control.

GENERAL: Entrants agree to release and waive any claims they may have against Releasees for any and all injuries, claims, damages, losses, costs, or expenses of any kind (including without limitation attorney’s fees) resulting from acceptance, use, or misuse of any prize or element thereof, or from participation in this Sweepstakes.

If for any reason this Sweepstakes is not capable of running as planned, or if this Sweepstakes or any web site associated therewith (or any portion thereof) becomes corrupted or does not allow the proper playing of the Sweepstakes and processing of entries in accordance with these rules, or if infection by computer virus, bugs, tampering, unauthorized intervention, actions by entrants, fraud, technical failures, or any other causes, in the Sponsor’s sole opinion, corrupts or affects the administration, security, fairness, integrity, or proper conduct of this Sweepstakes, the Sponsor reserves the right, at its sole discretion, to disqualify any individual implicated in such action and/or to cancel, terminate, modify, or suspend this Sweepstakes or any portion thereof. In the event this Sweepstakes is cancelled, the Sponsor will conduct a random drawing to award the prize from among all eligible, non-suspect entries received prior to the time of the action or event warranting such early termination. If such cancellation, termination, modification, or suspension occurs, notification will be posted at the Entry Site. ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEB SITE (INCLUDING THE ENTRY SITE) OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND/OR CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. If a dispute arises about who submitted an entry on either of the Entry Sites, the entry will be deemed submitted by the authorized account holder of the e-mail account entered. The authorized account holder is deemed the natural person who is assigned to an e-mail address by an Internet access provider, service provider, or other online organization that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. A potential winner may be requested to provide Sponsor with proof that the potential winner is the authorized account holder of the e-mail address associated with the winning entry and that all eligibility requirements are met.

NOTE: Internet entry must be made by the entrant only at the Entry Site. Entries made by any other individual or any entity, and/or originating at any other web site or e-mail address, including, but not limited to, commercial sweepstakes subscription notification and/or entering service sites, will be declared invalid and disqualified for this Sweepstakes. The use of any device, software program(s) or bot(s) to automate the entry process is prohibited.
